GENERAL TERMS AND CONDITIONS OF THE CRYSTALVALLEY.CZ PORTAL

PREAMBLE

(A.) These business conditions (hereinafter referred to as "GTC") are issued by the business company ARR - Agentura regionálního rozvoje, spol. s r.o., IČO: 482 67 210, with registered office: U Jezu 525/4, Liberec IV-Perštýn, 460 01 Liberec, entered in the Commercial Register kept by the Regional Court in Ústí nad Labem, file no. No .: C 4305, (hereinafter referred to as "ARR").

(B.) ARR is an entrepreneur who, within the scope of its business, operates, inter alia, intermediary activities in the field of trade and services. ARR procures the sale of group tickets (hereinafter referred to as the “Ticket”) for events organized by third parties (hereinafter referred to as the “Organizer”), with which the ARR has a contract-type contract pursuant to Act No. 89/2012 Coll., The Civil Code (hereinafter referred to as the “NOZ “).

(C.) The Customer is a natural or legal person or any other person authorized by the Ticket (hereinafter referred to as the "Customer"). By purchasing a Ticket from ARR, the Customer enters into a service contract consisting of the possibility of visiting glass or other production facilities, museums, tourist attractions and other events at predetermined dates within the project "Crystal Valley" (hereinafter "Service") with the Organizers for the aggregate price Tickets (contractual relationship between the Customer and the Organizer, hereinafter referred to as the "Agreement"). The Customer shall purchase the ticket exclusively through the internet portal operated for this purpose by ARR at the address crystalvalley.cz (hereinafter referred to as the "Website").

(D.) ARR acts on the basis of the order on behalf and on behalf of the Organizers to the extent necessary for concluding the Agreement between the Organizer and the Customer, publishing information and instructions of the Organizer for individual events and accepting payment for Tickets for the Organizers' Services from the Customer, or for other matters of the Organizer.

(E.) The Website and the individual Services offered are not an offer to conclude the Contract pursuant to Section 1732 paragraph 2 of the Civil Code, but a mere invitation to submit tenders. ARR and the Customer thus exclude the application of § 1732 para. 2 NOZ. The Website is only a catalog of Services offered by all Organizers and it is not an online store, e-shop or other platform through which the Customer could freely order products or services without the direct cooperation of ARR.

(F.) By using the ARR services and using the Website, the Customer also enters into a legal relationship with ARR to the extent specified in these GTC, especially in connection with the protection of the Customer's personal data or the use of ARR services. The Customer thus expresses his express consent to be bound by these GTC, which also regulate the rights and obligations between ARR and the Customer arising from the sale of Tickets on the ARR Website.

1. CONCLUSION OF THE CONTRACT, PAYMENT

1.1. The Customer can purchase the Ticket exclusively via the order form in the Web environment. By sending the order form, the Customer expresses the will to purchase a Ticket for the Services (hereinafter referred to as the "Order"). The contractual relationship between the Customer and the Organizer is established by concluding the Contract. The Customer and the Organizer through ARR with regard to § 1770 NOZ agree on a different procedure for concluding the Contract, in the manner specified below in these GTC, and by sending the order by the Customer, the Customer agrees to such procedure for concluding the Contract.

1.2. By sending the Order, the Customer will be referred to the payment gateway, through which the Customer will make payment for the Ticket. After receiving the Customer's Order and confirming the payment gateway operator's receipt of payment, ARR will send to the Customer the e-mail address specified in the Order a confirmation of the Order with a detailed description of the Service and Ticket, including these GTC (hereinafter The Customer may also make the payment by bank transfer to the ARR account No. 5897414349/0800 under the relevant variable symbol. In such a case, the Customer acknowledges the significant time lag between the payment and the Order Confirmation. The Agreement will be concluded between the Organizer and the Customer by delivering the Ticket to the Customer's e-mail address specified in the Order, but first by full, proper and timely payment for the Ticket. Payment for the Ticket means the day of registration of the amount with the payment gateway operator, through which the Organizer and ARR exchange the receipt of payment, or the day of crediting the payment amount to ARR's bank account, provided that the Customer chooses to pay by bank transfer. As a rule, the payment gateway operator shall confirm to the ARR the receipt of the amount as a rule immediately. If ARR does not send the Customer an Order Confirmation within 24 hours of receiving the Order, the Customer's Order shall be canceled. The Customer's order is also canceled if the payment for the Ticket is not paid within 24 hours from the date of sending the Order.

1.3. The content of the essentials of the Agreement is defined by the offer of Services presented on the Website, the Order, the Order Confirmation, these GTC, which are an integral part of the Agreement, or the annexes to the Agreement and these GTC. ARR is obliged to attach these GTC to the Customer to the Order Confirmation. The Customer acknowledges that by paying the payment for the Ticket, he also agrees with these GTC.

2. TICKET, TICKET ACTIVATION, VALIDITY, ORGANIZERS 'ACTIONS

2.1. The Ticket is a voucher issued by the ARR in the name and on behalf of the individual Organizers entitling the Customer and other persons in the total number specified on the Ticket to a one-time entry to specific events of the Organizers listed below. For the avoidance of doubt, the Ticket is non-transferable and entitles the Customer only to choose performance from the Organizer. In the case of purchasing a Family Ticket, 2 adults and up to 4 children under the age of 15 (including the Customer) are entitled to enter the Organizer's event.

2.2. The ticket entitles to free entry to the events of the Organizers who are contractual partners of ARR. The list of current events and their organizers is available on the website https://ticket.crystalvalley.cz/

2.3. The Customer is obliged to present the Ticket to the Organizer before entering the event. Submission of the Ticket means reading the barcode or QR code of the Ticket sent to the ARR in the Order Confirmation to the Customer's e-mail before entering the relevant Organizer. In case of technical difficulties or lack of technical equipment at the venue of the Organizer's event, submitting the Ticket means dictating the Ticket code to the relevant Organizer, but only if the Customer is invited by the Organizer to submit such a ticket.

2.4. Validity The ticket "7 days in Křišťálovské údolí" is valid for 7 calendar (consecutive) days from the date of the first submission (activation). Tickets when visiting the first event of any Organizer, including from 1.6. 2020 to 30. 9. 2021

The "Summer in the Crystal Valley" ticket is valid for the entire duration of the event, no later than 30 September 2021

The Customer is informed that the ticket can be used within the specified opening hours of individual Organizers, in the case of some Organizers it is necessary to arrange a visit in advance and order. ARR - Regional Development Agency informs about the individual restrictions at the Organizers without undue delay on the website ticket.crystalvalley.cz

(hereinafter referred to as the "Validity Period").

The ticket entitles the Customer to one entry to the event at each Organizer during the Validity Period. If the Customer uses the Ticket only for certain events of the Organizers or if the Customer does not use the Ticket at all during the Validity Period, the right to free entry to the remaining events of the Organizers expires without compensation upon the useless expiration of the Validity Period.

2.5. By submitting the Ticket upon entering the venue of each Organizer, the Customer or another person authorized by the Ticket agrees with the operating regulations and rules of the venue and undertakes to follow the instructions of the Organizer.

2.6. The Organizer is obliged to accept the ticket and allow the Customer's participation in the Organizer's event, unless:

(i) The Ticket has expired 7 days from the date of its first presentation (activation), in the case of Tickets "7 days in the Crystal Valley"

(ii) The Customer has already visited the Organizer once during the validity of the ticket;

(iii) if it is clear from the circumstances that the Customer violates safety regulations, visiting rules or other regulations by visiting the Organizer's event, especially if the Customer is clearly under the influence of an addictive or narcotic substance;

(iv) For the protection of the safety or health of the Customer or for other serious reasons.

2.7. The Customer acknowledges that the Organizer reserves the right to change the dates of events, or cancel the event if there is such an obstacle in the Organizer that prevents him to properly and timely organize the event, excursion or visit to the operation of the Partner's plant. For the purposes of this Agreement, obstacles according to the previous sentence are considered to be, in particular, accidents involving the Partner's plant, the Partner's medical condition, his representative or other serious obstacles preventing the proper conduct of the Partner's visit, excursion or event. ARR undertakes to notify the Customer without undue delay after learning that such an obstacle has occurred at the Organizer, and the Customer expressly agrees to such a change or cancellation of the event without compensation.

3. DISCLAIMER, BEST VIEWING PRACTICES

3.1. The Customer acknowledges that there may be errors in the content of the Ticket, especially if the Customer orders the Ticket for the price or conditions sent or presented to the Customer by mistake or as a result of an error in the internal information system or ARR Web environment. ARR is entitled to withdraw from the Agreement with the Customer on behalf of the Organizer. In such a case, the Ticket becomes invalid and effective. This does not affect the right of ARR or the Organizer to object to the invalidity of the Agreement as a result of such an error in the content of the Ticket or the Agreement. Examples of when an incorrectly published price or conditions of a Ticket to the Services may occur are in particular the following:

(i) the price or conditions of the Ticket are incorrect at first glance (eg it does not take into account the purchase price, the description includes the Service, which obviously cannot be provided in the given locality, etc.);

(ii) one or more digits remain or are missing from the Ticket price;

(iii) the discount on the Ticket exceeds 50% without the Ticket being part of a special marketing campaign or ARR sale event marked with a special symbol.

In case of doubt whether the Tickets are really discounted or otherwise advantageous, or if it is an obvious error, the Customer is obliged to contact the ARR and verify the information on the accuracy of the published data.

3.2. By sending the Order and agreeing to these GTC, the Customer acknowledges that the Website and all outputs from it (including automated and non-automated e-mails, banners and other display elements of the Website) are adapted by ARR to devices with Windows 10 and macOS (version December 10 and later), Android and iOS mobile devices and factory email applications. The customer also acknowledges that the use of another device or application or browser may lead to errors and mistakes, which are, among other things, demonstratively listed in Article 3.1. of these GTC, while the Customer is responsible for the occurrence of such an error or mistake.

4. DEFECTS OF SERVICES AND LIABILITY FOR DAMAGE OR OTHER INJURY

4.1. The Customer acknowledges that ARR acts in the relationship between ARR, the Customer and the Organizer only as a distributor of Tickets for the Services of the Organizers, while by purchasing Tickets the Customer enters into an Agreement directly with the Organizers. The Customer acknowledges that the event is organized and organized exclusively by the Organizer and that it is not an operation or ARR plant and that ARR is not liable for damage to the Customer or any other person entitled from the Ticket caused at the event according to legal provisions or the Contract. Furthermore, as a distributor of Tickets, ARR does not assume any responsibility for the proper conduct of the event organized by the Organizer.

4.2. The Customer is obliged to assert all rights from liability for defects of the event - especially changes in its program, transfer of dates or in the extreme case of cancellation of the event as well as claims for damages or other damage by breach of the Contract or legal provisions directly against a specific Organizer. The list of contractual Organizers, including their identification and contact details, is available above in these GTC and further on the ARR Website.

5. INFORMATION ON THE PROCESSING OF PERSONAL DATA

5.1. All information on the processing of personal data is provided in the document Principles of Personal Data Processing issued by the ARR.

6. EXTRAORDINARY DISPUTE RESOLUTION

6.1. In the event that a consumer dispute arises between ARR and the Customer who is a consumer under the Contract, which cannot be resolved by mutual agreement, the Customer may file a proposal for out-of-court settlement of such a dispute to a designated out-of-court settlement of consumer disputes. The procedure is free of charge, it is initiated at the request of the Customer, which must be filed no later than one year from the date on which the Customer exercised his right, which is the subject of the dispute, with ARR or the Organizer for the first time. The competent authority is the Czech Trade Inspection Authority, Central Inspectorate - ADR Department, Štěpánská 15, 120 00 Prague 2, Email: adr@coi.cz, website adr.coi.cz. The consumer can also use the online dispute resolution platform set up by the European Commission at http://ec.europa.eu/consumers/odr/.

7. FINAL PROVISIONS

7.1. With regard to the nature of the Services to which the Customer is entitled to use the Ticket, the Customer has no right to withdraw from the Contract, in accordance with § 1837 paragraph j) of the NOZ.

7.2. The contracts and legal relations to which these GTC apply are governed by the law of the Czech Republic.

7.3. With regard to the fact that ARR is an entrepreneur and that the place of ensuring the performance of services provided by BPR is mainly the Liberec region, ARR, resp. The Organizer and the Customer that the disputes arising from the Contract, disputes of the validity, invalidity or voidness of the Contract, or its parts, or disputes related to them, will be decided by the general courts with territorial jurisdiction for persons domiciled in Jablonec nad Nisou, ie district a court in Jablonec nad Nisou, or another locally competent court determined in accordance with the regulations in force and effective at the time of filing the lawsuit, provided that the Customer is an entrepreneur who enters into the Contract in connection with its business activities. It is considered that the Customer enters into the Contract in connection with its business activities if it states the identification number of the trader in the Order.

7.4. The possible invalidity or voidness of individual provisions of these GBTC does not affect the validity of the provisions of the Agreement or to which these GBTC apply.
